Terms & Conditions

Depending on the business relationship, one of two sets of general terms and conditions applies. Both apply exclusively in relation to entrepreneurs (§ 14 German Civil Code, BGB), legal entities under public law and special funds under public law – not to consumers. These terms apply whenever CorTec sells products – medical devices, research devices and components for medical devices – or provides design and development services. They set out, among other things, CorTec’s obligations and product descriptions, the customer’s responsibilities in handling the products, notices of defects and warranty, the scope and limits of liability, prices and payment conditions, rights to results and industrial property, delivery, force majeure, retention of title, and the applicable law and place of jurisdiction (German law; Freiburg im Breisgau). Terms and conditions of the purchaser do not apply unless CorTec has expressly agreed to them in writing.

These terms apply whenever CorTec purchases goods or services from suppliers. They govern, among other things, the conclusion and amendment of orders, prices and payment terms, delivery dates, acceptance and transfer of risk, warranty claims, materials provided by CorTec, the use of subcontractors as well as product-safety and quality-management requirements, audit and information rights, customs and foreign-trade obligations, intellectual property and confidentiality, retention of title, and the applicable law and place of jurisdiction (German law; Freiburg im Breisgau). Deviating or supplementary terms of the supplier apply only if CorTec has expressly agreed to them.
